The reason for that is that general public, with little or no previous experience
in investing, all of a sudden got access to thousands of investment offers. Most
people are simply not aware of how to evaluate startups and often become
victims of ambitious promises or even scams. Many experts expect at least 97%
of all ICO startups to fail in the nearest future.
Next issue is the current state of ICO tokens. Instead of raising the seed round,
issuing equity or security tokens, entrepreneurs try to avoid regulations, by
structuring their tokens as utilities. The reason for that is that issuing a security
in full compliance with the law is unaffordable for small pre-seed stage startups.
As an outcome we see a speculative market full of useless tokens that are called
utilities, but in fact were only issued to raise funds.

1. Introduction
Daox is an investment ecosystem and a blockchain-based platform that
provides a complete solution for ICOs, crowdfunding, and crowdinvesting
using cryptocurrencies and with the application of the concept of a
decentralized autonomous organization.
1.1 Vision
Daox is proposing an advanced open source technological solution and unified
protocol that aims to fix all major problems related to ICOs and crowdfunding
in general, preserving the benefits of crypto, raising the efficiency of capital and
establishing the basis for the future investment industry. This solution is called
a Decentralized Fundraising Autonomous Organization or Fundraising DAO.

If the majority of investors do not see that the startup stick to its declared
roadmap and obligations, they can simply vote for the refund. This
functionality alone solves some of the major problems of ICOs and
crowdfunding.
Not only we can get rid of scams because it is simply becoming unprofitable,
but we also increase the success ratio due to the fact that the startups’ team is
way more motivated. The Fundraising DAO protocol is basically replicating
the way joint-stock companies work, while also preserving all the benefits of
crypto and ICOs.
Each Fundraising DAO is modular. This means that its governance structure
and functionality might be adjusted to the specific needs of different projects.
For example, authors could set up a simple DAICO issuing utility tokens, or
create an organization that will pay dividends, or even offering equity-based

and investors. From this point on, the Daox Ecosystem is formed (cf. ​1.2​), and
each Fundraising DAO becomes a part of this ecosystem.
1.2 How it Works
Each project in the Daox ecosystem is launched in the following steps:
A. ICOs and crowdfunding campaigns are easily launched using the Daox
Platform (c. ​4)​ .
B. Each campaign then forms an Ethereum-based Fundraising DAO
featuring its own ERC20 token.
C. Each DAO holds the raised funds and is managed by the transparent
voting of its token holders.
After the fundraising campaign is finished successfully (in case the targets were
reached), the team of the project is granted a possibility to start requesting
tranches. These requests are being approved or declined by voting.

In such a manner, each project and its investors establish their own
decentralized autonomous organization (DAO) and become its members. Each

DAO of that kind gets access to a continuously evolving independent Daox
Ecosystem.
This section describes the Daox concept. Technical description, including
detailed review of the source code can be found in the section ​10.2 of this
document.
1.2.1 Creating a DAO and Raising Funds
The user goes through registration and authentication procedures to create a
DAO via Daox Platform. It is possible to either use an existing Ethereum
account or create a new one on the Daox Platform (c.
4​ ​).
After the DAO is created, the user receives a unique webpage address on the
daox.org service, as well as the address of the DAO on the Ethereum
blockchain.
In return for funds transferred to that Ethereum address, the DAO transmits
the newly-created tokens of the project. Those tokens meet the ERC20
standard and can be immediately transferred to other addresses or be listed on
cryptocurrency exchanges.
